Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") govern your use of the TradyOne service operated by TradyOne ("TradyOne", "we", "us", or "our"). By creating an account, accessing, or using the service, you agree to be bound by these Terms. If you are using TradyOne on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms.
2. The service
TradyOne is field service software that helps trades businesses schedule jobs, send quotes, manage invoices, communicate with customers, and coordinate field workers. The service consists of a web application, mobile applications, and supporting APIs.
3. Accounts
You must provide accurate and complete information when creating an account, and keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@tradyone.com if you suspect unauthorised access.
You must be at least 18 years old to use TradyOne.
4. Subscription and billing
- TradyOne is offered on a per-seat subscription basis, billed in advance for each billing period (monthly or annually).
- New customers may be offered a free trial period. At the end of the trial, your subscription begins and will be charged unless you cancel.
- All fees are exclusive of taxes (GST or equivalent), which will be added where applicable.
- Payments are processed by Stripe. By providing payment details you authorise us to charge the applicable fees on a recurring basis until you cancel.
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide pro-rated refunds for partial periods.
- We may change pricing on notice. Price changes take effect at the start of the next billing period after the notice.
5. Acceptable use
You agree not to:
- Use the service for any unlawful purpose, or in violation of any laws or regulations in your jurisdiction.
- Send spam, unsolicited marketing, or messages that violate anti-spam laws (e.g. NZ Unsolicited Electronic Messages Act, the Australian Spam Act, CAN-SPAM, GDPR).
- Upload content that infringes intellectual property, is defamatory, or violates the privacy of others.
- Attempt to gain unauthorised access to the service, other accounts, or supporting systems.
- Resell, sublicense, or otherwise commercialise the service without our written agreement.
- Reverse engineer or scrape the service beyond what is permitted by applicable law.
6. Your content and data
You retain all rights in the data you and your team enter into TradyOne (customers, jobs, quotes, invoices, photos, etc.). You grant us a limited licence to host, store, transmit, and process that data solely to provide the service to you.
You are responsible for ensuring you have the rights and consents needed to upload customer information and to send messages to your customers via the service.
7. Our intellectual property
TradyOne, the TradyOne name, logo, software, and all related intellectual property are owned by us. These Terms do not grant you any rights to our trademarks or branding without our prior written consent.
8. Suspension and termination
We may suspend or terminate your access to the service if you breach these Terms, fail to pay fees when due, or use the service in a way that may harm us, other customers, or third parties. We will give reasonable notice where practical.
You may close your account at any time. On termination we will retain your data for a limited period to allow export, after which it will be deleted in accordance with our Privacy Policy.
9. Disclaimers
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free from data loss.
10. Limitation of liability
To the maximum extent permitted by law, TradyOne's total aggregate liability arising out of or related to these Terms or the service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the liability. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited (including under the New Zealand Consumer Guarantees Act 1993 or the Australian Consumer Law where applicable).
11. Indemnification
You agree to indemnify and hold harmless TradyOne, its officers, employees, and partners from any claim or demand, including reasonable legal fees, made by a third party arising out of your use of the service, your content, or your breach of these Terms.
12. Governing law
These Terms are governed by the laws of New Zealand. The courts of New Zealand have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek injunctive relief in any jurisdiction.
13. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this page and, for material changes, notify account holders by email. Continued use of the service after the changes take effect constitutes your acceptance of the updated Terms.
